PROKSIMO Platform Participation Rules

These Platform Participation Rules govern participation in the Proksimo Platform and establish the operational standards, transparency requirements, professional obligations, and participation principles applicable to all Users of the Platform.

These Rules form an integral part of the Proksimo Platform Terms & Conditions and apply to all activities conducted through the Platform.

1. Purpose of the Rules

These Platform Participation Rules ("Rules") establish the operational standards, participation requirements, professional obligations, transparency principles, and conduct expectations applicable to all Users of the Proksimo Platform.

The purpose of these Rules is to promote trust, transparency, professional integrity, cooperation, and data accuracy within the Proksimo ecosystem.

These Rules supplement and form an integral part of the Proksimo Platform Terms & Conditions.

Users are expected to act honestly, professionally, responsibly, and in good faith when participating in any activity conducted through the Platform.

The Platform is designed to facilitate professional cooperation and business activities within the real estate sector. The effectiveness and reliability of the Platform depend on the accuracy of information provided by Users and their compliance with these Rules.

Failure to comply with these Rules may result in warnings, restrictions, suspension of functionalities, removal of content, temporary suspension, permanent removal from the Platform, or other measures authorized under the Terms & Conditions.

Nothing in these Rules shall be interpreted as limiting the obligations imposed upon Users under Applicable Law or under the Proksimo Platform Terms & Conditions.

2. Scope of Application

These Rules apply to all Users of the Proksimo Platform, including individual real estate professionals, agencies, organizations, teams, and any other persons or entities using the Platform.

These Rules govern all activities performed through or in connection with the Platform, including but not limited to:

(a) account creation and management;

(b) property creation, publication, management, and representation;

(c) mandate-related activities;

(d) lead creation, management, exchange, and tracking;

(e) transaction-related activities;

(f) commission-related activities;

(g) document management and exchange;

(h) team participation and collaboration;

(i) communications conducted through Platform services;

(j) any other activity facilitated by the Platform.

These Rules apply regardless of the User's country of operation, nationality, business structure, licensing status, membership in professional organizations, or jurisdiction, except where Applicable Law requires otherwise.

Each User remains solely responsible for ensuring that their activities conducted through the Platform comply with all Applicable Laws, professional obligations, licensing requirements, contractual obligations, and regulatory requirements applicable to them.

The Platform does not assume responsibility for determining whether a User is legally authorized to perform a particular activity in a specific jurisdiction.

The Platform may establish additional operational requirements, participation standards, verification procedures, feature-specific rules, or service-specific requirements for particular functionalities, modules, services, countries, subscription plans, or categories of Users.

Such additional requirements shall form part of these Rules where published by the Platform.

In the event of any conflict between these Rules and the Proksimo Platform Terms & Conditions, the Proksimo Platform Terms & Conditions shall prevail unless expressly stated otherwise.

3. Professional Integrity Principles

The Proksimo Platform is built upon the principles of professional integrity, transparency, accountability, accuracy, and good-faith cooperation.

All Users are expected to conduct their activities in a professional, honest, responsible, and lawful manner.

3.1 Professional Self-Declaration Principle

Users registering as real estate professionals, agencies, or other professional participants of the real estate sector declare and represent that the information provided during registration and throughout their use of the Platform is accurate and truthful.

Each User remains solely responsible for the accuracy of information relating to their identity, professional status, business affiliation, qualifications, authorizations, licenses, registrations, memberships, and professional activities.

The Platform does not automatically verify or certify the professional status of Users unless expressly stated otherwise.

3.2 Good Faith Principle

Users shall act in good faith when using the Platform and when interacting with other Users.

Users shall not intentionally mislead, deceive, manipulate, exploit, conceal material information from, or otherwise act unfairly toward other Users.

3.3 Accuracy Principle

Users shall ensure that information submitted, published, exchanged, stored, managed, or communicated through the Platform is accurate, complete, current, and not misleading.

Users shall promptly correct or update information that becomes inaccurate, incomplete, outdated, or misleading.

3.4 Transparency Principle

Users shall provide information in a transparent and truthful manner whenever such information may affect the rights, obligations, decisions, opportunities, transactions, commissions, compensation, or legitimate interests of other Users.

Users shall not intentionally conceal, manipulate, misrepresent, or distort information that may materially affect the activities of other Users.

3.5 Property Integrity Principle

Users shall ensure that Properties represented through the Platform are supported by valid legal authority, authorization, mandate, instruction, or other legally sufficient basis required under Applicable Law.

Users shall not knowingly upload, publish, manage, represent, promote, or otherwise handle Properties for which they do not possess the necessary authority.

3.6 Mandataire Principle

Only a User acting as the Mandataire under a valid Mandate, or otherwise possessing legally sufficient authority to represent the Property under Applicable Law, may create, publish, manage, or represent a Property through the Platform.

The User creating or managing a Property remains solely responsible for ensuring that such authority exists and remains valid.

The upload, management, or representation of a Property by a User who is not the Mandataire and who lacks the required authority may constitute a violation of these Rules.

3.7 Property Integrity Protection Principle

The Platform reserves the right to take reasonable measures to protect the integrity, accuracy, legality, and reliability of Property information available through the Platform.

Where the Platform reasonably believes that a Property may have been uploaded, managed, or represented without proper authority, the Platform may request clarification, request supporting documentation, restrict access to the Property, temporarily suspend the Property, remove the Property, or take other appropriate measures.

3.8 Responsibility Principle

Each User remains solely responsible for their own activities, decisions, communications, documents, representations, transactions, business relationships, and compliance obligations.

The Platform does not assume responsibility for verifying the legality, accuracy, validity, or enforceability of User activities except where expressly stated otherwise.

4. User Identity and Professional Information

Users shall provide accurate, complete, and current information relating to their identity, professional status, business affiliation, and contact details.

Users shall not create Accounts using false identities, fictitious business information, misleading professional credentials, unauthorized company information, or information belonging to another person or entity.

Users registering as real estate professionals or agencies acknowledge that they are solely responsible for the accuracy and legitimacy of all information provided to the Platform.

Users shall promptly update their information whenever material changes occur, including but not limited to:

(a) changes of name;

(b) changes of business affiliation;

(c) changes of agency membership;

(d) changes of professional status;

(e) changes of contact information;

(f) changes affecting the User's authority to conduct professional activities.

Where a User acts on behalf of an agency, company, organization, partnership, or other legal entity, the User shall possess the authority necessary to represent such entity in connection with the use of the Platform.

The Platform may request supporting information, clarification, documentation, or verification where reasonably necessary to protect the integrity of the Platform, investigate complaints, resolve disputes, verify professional information, enforce Platform rules, or comply with Applicable Law.

Users shall cooperate with reasonable verification requests made by the Platform.

Failure to provide requested information or documentation may result in restrictions, suspension of certain functionalities, temporary suspension of access, removal of content, or other measures authorized under the Platform Terms & Conditions.

Users shall not misrepresent their relationship with any agency, organization, professional association, client, property owner, business partner, or other third party.

The Platform reserves the right to display, verify, organize, categorize, or otherwise manage professional information for operational, security, transparency, compliance, and business purposes.

The User remains solely responsible for the consequences arising from inaccurate, incomplete, misleading, outdated, or unauthorized information provided to the Platform.

5. Property Management Rules

5.1 Valid Mandate Requirement

A Property may be created, published, managed, represented, promoted, or otherwise handled through the Platform only by a User acting as the Mandataire under a valid Mandate or otherwise possessing legally sufficient authority to represent the Property under Applicable Law.

The User remains solely responsible for ensuring that such authority exists, remains valid, and can be demonstrated when reasonably requested by the Platform.

The Platform does not assume responsibility for verifying the existence, validity, scope, duration, or enforceability of any Mandate.

5.2 Responsibility for Property Information

The User managing a Property remains solely responsible for the accuracy, completeness, legality, and currency of all information associated with the Property.

Users shall ensure that Property information accurately reflects the characteristics, status, availability, pricing, commissions, and other relevant information relating to the Property.

5.3 Property Status Management

Users shall maintain accurate Property status information within the Platform.

Where applicable, Property status shall be updated within a reasonable period following any material change affecting the Property.

Users shall not intentionally maintain inaccurate, misleading, outdated, unavailable, withdrawn, sold, rented, expired, or otherwise invalid Property information.

5.4 Property Documents and Supporting Information

Users are responsible for maintaining and preserving all documents, authorizations, mandates, certificates, photographs, plans, and other materials associated with Properties represented through the Platform.

The Platform may request supporting documentation where reasonably necessary to verify compliance with these Rules, investigate complaints, resolve disputes, protect Platform integrity, or comply with Applicable Law.

Failure to provide reasonably requested documentation may result in restrictions, suspension, removal of the Property, or other measures authorized by the Platform.

5.5 Property Photos and Media

Users shall only upload photographs, videos, plans, virtual tours, marketing materials, and other media for which they possess the necessary rights, permissions, authorizations, or legal basis.

Users shall not upload media that is misleading, deceptive, manipulated in a manner that materially misrepresents the Property, or otherwise inconsistent with Applicable Law.

5.6 Duplicate Properties

The Platform may permit the existence of multiple Property records relating to the same Property where multiple Users possess valid authority to represent that Property.

Where the Platform identifies a potential duplicate Property, the Platform may provide warnings, notifications, verification requests, or other informational notices to affected Users.

The existence of a duplicate Property record shall not by itself constitute a violation of these Rules.

Each User remains solely responsible for ensuring that they possess the necessary authority to represent the relevant Property.

5.7 Property Integrity Protection

The Platform reserves the right to investigate, verify, restrict, suspend, remove, or otherwise manage any Property where it reasonably believes that:

(a) the Property has been uploaded without proper authority;

(b) the User is not the Mandataire or otherwise lacks authority to represent the Property;

(c) information associated with the Property may be inaccurate, misleading, fraudulent, incomplete, or unlawful;

(d) the Property may violate these Rules, the Terms & Conditions, or Applicable Law.

Such measures may be taken temporarily or permanently depending upon the circumstances of the case and the information available to the Platform.

6. Mandates and Authorizations

6.1 Responsibility for Mandates

Users are solely responsible for obtaining, maintaining, renewing, monitoring, and complying with all Mandates, authorizations, instructions, agreements, permissions, and other legal rights required to represent a Property.

The Platform does not create, grant, transfer, validate, replace, renew, or guarantee any Mandate or authorization.

6.2 Validity of Mandates

Users shall ensure that any Property represented through the Platform remains covered by a valid Mandate or other legally sufficient authority for the entire period during which the Property is managed, promoted, shared, or otherwise represented through the Platform.

Where a Mandate expires, is revoked, terminated, suspended, transferred, or otherwise ceases to provide authority to represent a Property, the User shall promptly update the relevant Property information and cease any unauthorized representation of the Property through the Platform.

6.3 Authority of the Mandataire

The User representing a Property through the Platform shall be the Mandataire identified under the applicable Mandate or a person otherwise legally authorized to act on behalf of the Mandataire under Applicable Law.

Users shall not represent themselves as Mandataire where such status does not exist.

Users shall not create, manage, publish, or represent Properties on behalf of another Mandataire without proper authority.

6.4 Proof of Authorization

The Platform reserves the right to request information, documentation, explanations, confirmations, or other evidence reasonably necessary to verify a User's authority to represent a Property.

Users shall cooperate with such requests and provide information that is reasonably sufficient to establish their authority.

Failure to cooperate with verification requests may result in restrictions, suspension, removal of Properties, or other measures authorized under these Rules and the Terms & Conditions.

6.5 Conflicting Claims of Authority

Where multiple Users claim authority over the same Property, the Platform may request additional information, documentation, or clarification from one or more Users.

The Platform may temporarily restrict, suspend, hide, or otherwise manage affected Properties while such matters are being reviewed.

The Platform does not act as a court, arbitrator, mediator, legal advisor, or regulatory authority and does not determine the legal ownership of mandates, contractual rights, or representation rights between Users.

6.6 Platform Rights Relating to Mandates

For the purpose of protecting Platform integrity, the Platform reserves the right to take reasonable measures where it believes that a Property may be represented without valid authority.

Such measures may include:

(a) verification requests;

(b) temporary restrictions;

(c) temporary hiding of Properties;

(d) suspension of Properties;

(e) removal of Properties;

(f) suspension or restriction of Accounts;

(g) any other reasonable measure necessary to protect Users, Property Owners, the Platform, or compliance with Applicable Law.

The exercise of such rights by the Platform shall not constitute a determination regarding the legal validity of any Mandate, authorization, or contractual relationship.

7. Lead Management Rules

7.1 Purpose of Leads

The Platform may enable Users to create, receive, manage, organize, track, and process Leads relating to business opportunities, properties, clients, property owners, buyers, sellers, tenants, landlords, investors, or other real estate-related opportunities.

Users shall use Leads solely for legitimate professional purposes consistent with these Rules, the Terms & Conditions, and Applicable Law.

7.2 Lead Accuracy

Users shall ensure that information associated with Leads is accurate, complete, current, and not intentionally misleading.

Users shall not knowingly create, submit, maintain, or distribute false, fraudulent, duplicated, manipulated, or fictitious Leads.

7.3 Lead Status Management

Users shall maintain accurate Lead status information within the Platform.

Where applicable, Users shall update Lead status information within a reasonable period following material developments affecting the Lead.

Users shall not intentionally maintain inaccurate or misleading Lead information.

7.4 Lead Attribution

The Platform may record information relating to the origin, submission, receipt, assignment, acceptance, rejection, management, status changes, and history of Leads.

Users acknowledge that such records may be used by the Platform for operational, transparency, compliance, audit, dispute resolution, reporting, and security purposes.

7.5 Lead Integrity

Users shall not manipulate, conceal, falsify, alter, interfere with, or otherwise compromise information relating to the origin, history, status, attribution, ownership, assignment, or processing of Leads.

Users shall not attempt to circumvent Platform mechanisms designed to ensure transparency and integrity in Lead management.

7.6 Lead Usage Restrictions

Users shall use Leads only for the purpose for which they were provided through the Platform.

Users shall not sell, transfer, assign, redistribute, sublicense, trade, exchange, or otherwise provide Leads to third parties where such actions are inconsistent with Platform rules, the expectations of the Lead source, or the legitimate interests of affected Users.

7.7 Lead Trust Principle

The Platform operates on principles of transparency and trust.

Where a Lead is submitted, directed, or assigned to a particular User, that User shall process the Lead in good faith and in accordance with Platform rules.

Users shall not engage in practices intended to undermine the trust, expectations, or legitimate interests of the source of a Lead.

7.8 Platform Rights Relating to Leads

The Platform reserves the right to investigate, verify, review, restrict, suspend, or otherwise manage Leads where it reasonably believes that:

(a) Lead information is inaccurate or misleading;

(b) Lead information has been manipulated;

(c) Platform rules have been violated;

(d) fraudulent, deceptive, abusive, or unauthorized activities may have occurred;

(e) intervention is necessary to protect Users, the Platform, or Platform integrity.

The Platform may maintain records relating to Leads and their history for compliance, transparency, security, audit, reporting, dispute resolution, and operational purposes.

8. Transaction Transparency Rules

8.1 Transaction Declaration Obligation

Users shall accurately and truthfully report Transactions where such reporting is required by the Platform, these Rules, applicable agreements, or other Platform procedures.

Users shall not intentionally conceal, omit, misrepresent, manipulate, delay, or falsify information relating to Transactions.

8.2 Platform-Originated Transaction Declaration

Where a Transaction originates from, results from, or is materially connected to a Lead, referral, introduction, business opportunity, contact, Property, or other activity recorded through the Platform, the User shall accurately declare such Transaction through the Platform.

Users shall not intentionally avoid, delay, conceal, manipulate, or interfere with Transaction reporting obligations relating to Platform-originated activities.

8.3 Transaction Status Updates

Users shall maintain accurate Transaction status information where Transaction status management features are made available through the Platform.

Users shall update Transaction information within a reasonable period following material developments affecting the Transaction.

Users shall not knowingly maintain inaccurate, misleading, outdated, incomplete, or false Transaction information.

8.4 Accuracy of Transaction Information

Users shall ensure that information relating to Transactions is accurate and reflects the actual circumstances of the Transaction.

Users shall not knowingly submit false transaction values, false transaction dates, false parties, false statuses, false outcomes, or other inaccurate information.

8.5 Duty of Transparency

Users shall act transparently where Transaction information may affect the rights, obligations, compensation, commissions, opportunities, business interests, or legitimate expectations of other Users.

Users shall not engage in practices designed to conceal Transaction outcomes, distort Transaction history, interfere with attribution records, or undermine the transparency mechanisms of the Platform.

8.6 Transaction Records

The Platform may maintain records relating to Transaction declarations, status updates, attribution information, history logs, communications, audit trails, timestamps, and other information associated with Transactions.

Such records may be used for operational, reporting, compliance, security, audit, dispute resolution, transparency, and Platform integrity purposes.

8.7 Platform Rights Relating to Transactions

The Platform reserves the right to request information, clarification, supporting documentation, or other evidence where reasonably necessary to verify compliance with Transaction reporting obligations.

Failure to cooperate with reasonable verification requests may result in warnings, restrictions, suspension of functionalities, suspension of Accounts, removal of content, or other measures authorized under these Rules and the Terms & Conditions.

9. Commission Transparency Rules

9.1 Accuracy of Property Commission Information

Where the Platform allows the declaration, display, management, calculation, sharing, or processing of Property Commission information, Users shall ensure that such information accurately reflects the commission arrangements applicable to the relevant Property.

Users shall not knowingly provide false, misleading, manipulated, concealed, incomplete, or inaccurate commission information.

Where a commission is specified within a Mandate or other legally binding authorization, the commission information entered into the Platform shall accurately reflect the commission stated in such Mandate.

9.2 Responsibility for Commission Information

Users remain solely responsible for the accuracy, legality, enforceability, disclosure, calculation, reporting, and management of commission information associated with Properties and Transactions.

The Platform does not verify, certify, guarantee, calculate, approve, or enforce commission arrangements between Users or between Users and third parties.

9.3 Cooperation Compensation Agreements

The Platform may provide functionalities allowing Users to discuss, negotiate, record, document, or manage compensation arrangements relating to cooperation activities.

Unless expressly stated otherwise, Users remain solely responsible for determining, negotiating, accepting, documenting, and fulfilling such arrangements.

The Platform does not determine the compensation payable between cooperating Users and is not a party to such arrangements.

9.4 Suggested Compensation Values

The Platform may display suggested, recommended, indicative, default, estimated, or informational compensation values for certain cooperation activities.

Such values are provided solely for informational and operational purposes.

Users remain free to negotiate, accept, reject, modify, replace, or otherwise determine compensation arrangements independently.

The existence of a suggested value shall not create any contractual obligation, guarantee, entitlement, minimum amount, maximum amount, or binding commitment unless expressly agreed by the relevant parties.

9.5 Commission Transparency Principle

Users shall act transparently when providing information relating to commissions, compensation arrangements, remuneration, referral payments, revenue sharing, or other financial arrangements associated with Platform activities.

Users shall not intentionally conceal, manipulate, distort, misrepresent, falsify, or otherwise interfere with commission-related information where such information may affect the rights, obligations, expectations, opportunities, compensation, or legitimate interests of other Users.

9.6 Platform Rights Relating to Commission Information

The Platform reserves the right to request clarification, supporting information, documentation, or other evidence where reasonably necessary to verify compliance with these Rules, investigate complaints, resolve disputes, protect Platform integrity, or comply with Applicable Law.

Failure to cooperate with reasonable requests may result in warnings, restrictions, suspension of functionalities, suspension of Accounts, removal of content, or other measures authorized under these Rules and the Terms & Conditions.

11. Collaboration Rules Between Users

11.1 Request Center Collaboration

The Platform may provide collaboration functionalities allowing Users to request, establish, manage, and terminate professional cooperation relating to Properties, Leads, Transactions, business opportunities, and other activities.

Such cooperation may be established through the Platform's Request Center or other collaboration mechanisms made available by the Platform.

11.2 Collaboration Requests

Users may submit collaboration requests to other Users through Platform functionalities.

The recipient of a collaboration request remains free to accept, reject, ignore, or terminate such requests.

The Platform does not guarantee acceptance of any collaboration request.

11.3 Acceptance of Collaboration

Where a collaboration request is accepted, the collaborating User may receive access to information, Properties, documents, communications, or other resources made available by the User granting such access.

The scope of access shall be determined by Platform functionalities and by the permissions granted by the User providing access.

11.4 Property Ownership During Collaboration

Collaboration does not transfer ownership, control, responsibility, authority, Mandataire status, representation rights, or legal obligations relating to a Property.

The Mandataire remains the User responsible for the Property unless otherwise permitted under Applicable Law and Platform rules.

11.5 Rights of Collaborating Users

Collaborating Users may access information made available to them through approved collaboration arrangements.

Such access does not create ownership rights, representation rights, editing rights, publication rights, transfer rights, or other rights beyond those expressly granted through Platform functionalities.

11.6 Property Editing Restrictions

Collaborating Users shall not modify, edit, replace, alter, remove, publish, transfer, or otherwise manage a Property belonging to another User unless such rights are expressly provided by the Platform.

The Mandataire remains responsible for the management and accuracy of the Property.

11.7 Document Access and Visibility

Access to documents associated with a Property shall be governed by the visibility settings selected by the author of the document.

The Platform may provide document visibility classifications including public, confidential, highly confidential, or similar access categories.

Users shall respect document visibility settings and shall not attempt to obtain access to documents beyond the permissions granted through the Platform.

11.8 Confidentiality During Collaboration

Information obtained through collaboration may only be used for legitimate purposes relating to the collaboration for which access was granted.

Users shall not misuse, distribute, disclose, reproduce, commercialize, or otherwise exploit information obtained through collaboration in violation of Platform rules, confidentiality obligations, or Applicable Law.

11.9 Termination of Collaboration

Users may terminate collaboration relationships through Platform functionalities where available.

Upon termination, access rights may be restricted, removed, modified, or otherwise managed in accordance with Platform functionalities, document permissions, data retention requirements, and Applicable Law.

The termination of collaboration does not release Users from confidentiality obligations, payment obligations, contractual commitments, or other obligations arising prior to such termination.

12. Document Management Rules

12.1 Purpose of Document Management

The Platform may allow Users to upload, create, store, exchange, organize, manage, view, transmit, and otherwise process documents relating to Properties, Leads, Transactions, mandates, cooperation activities, communications, and other professional activities.

Users remain solely responsible for all documents uploaded, stored, exchanged, or managed through the Platform.

12.2 Accuracy and Legitimacy of Documents

Users shall ensure that documents uploaded to the Platform are accurate, authentic, complete, current, and lawfully possessed.

Users shall not upload forged, altered, fraudulent, misleading, unauthorized, unlawfully obtained, or otherwise invalid documents.

12.3 Responsibility for Uploaded Documents

The User uploading a document remains solely responsible for:

(a) the legality of the document;

(b) the accuracy of the document;

(c) the right to possess and upload the document;

(d) compliance with confidentiality obligations;

(e) compliance with Applicable Law.

The Platform does not verify the authenticity, validity, legality, enforceability, ownership, or accuracy of documents uploaded by Users.

12.4 Document Visibility Settings

The Platform may provide visibility settings allowing Users to control access to documents.

Document visibility may include categories such as:

(a) Public;

(b) Confidential;

(c) Highly Confidential;

or other visibility categories made available by the Platform.

The author of a document remains responsible for selecting appropriate visibility settings.

12.5 Public Documents

Documents designated as Public may be visible to Users in accordance with Platform functionalities, Property visibility settings, collaboration permissions, and other applicable access controls.

Users shall not assume that a Public document is available to all Platform Users unless expressly provided by the Platform.

12.6 Confidential Documents

Documents designated as Confidential shall only be accessible to Users granted access through Platform permissions, collaboration arrangements, or other authorized mechanisms.

Users shall not disclose, distribute, reproduce, or otherwise share Confidential documents beyond the scope of the permissions granted through the Platform.

12.7 Highly Confidential Documents

Documents designated as Highly Confidential shall be accessible only to the author of the document unless otherwise permitted by Platform functionalities.

Users shall not attempt to bypass, interfere with, or circumvent access restrictions applicable to Highly Confidential documents.

12.8 Document Access Restrictions

Users shall access documents only through permissions granted by the Platform and by the User responsible for the document.

Users shall not attempt to obtain unauthorized access to documents, copies of documents, metadata, document history, document contents, or other information protected by Platform access controls.

12.9 Document Retention and Availability

The Platform may retain, archive, replicate, back up, preserve, or remove documents in accordance with operational requirements, legal obligations, security requirements, data retention policies, and Applicable Law.

The Platform does not guarantee permanent storage, permanent availability, or permanent recoverability of any document unless expressly stated otherwise.

12.10 Platform Rights Relating to Documents

The Platform reserves the right to review, restrict, suspend, remove, preserve, or otherwise manage documents where reasonably necessary to:

(a) investigate complaints;

(b) investigate suspected violations of Platform rules;

(c) protect Users or third parties;

(d) comply with Applicable Law;

(e) maintain Platform integrity and security.

Such actions shall not constitute validation, approval, certification, or endorsement of any document by the Platform.

13. Messaging and Communication Usage Rules

13.1 Purpose of Communications

The Platform may provide messaging, communication, discussion, collaboration, notification, translation, and other communication functionalities for professional use.

Users shall use Platform communications primarily for legitimate professional activities related to real estate transactions, cooperation, business opportunities, professional networking, and other lawful business purposes.

13.2 Professional Communication Standards

Users shall communicate professionally, respectfully, honestly, and in good faith.

Users shall conduct communications in a manner consistent with professional standards expected within the real estate industry.

13.3 Prohibited Communications

Users shall not use Platform communications to:

(a) threaten, harass, intimidate, abuse, or coerce other Users;

(b) publish or transmit unlawful, defamatory, discriminatory, hateful, violent, obscene, or offensive content;

(c) engage in fraud, deception, manipulation, impersonation, or other dishonest conduct;

(d) distribute malware, harmful software, malicious links, or other harmful content;

(e) send spam, mass unsolicited communications, or unauthorized commercial messages;

(f) solicit unlawful activities or conduct prohibited by Applicable Law;

(g) intentionally interfere with the rights, business activities, reputation, or legitimate interests of other Users.

13.4 Communication Integrity

Users shall not intentionally alter, manipulate, falsify, fabricate, misrepresent, or otherwise interfere with communication records maintained through the Platform.

Users shall not create misleading communications designed to deceive other Users regarding Properties, Leads, Transactions, commissions, mandates, or other Platform activities.

13.5 Automatic Translation Services

The Platform may provide automatic translation services or multilingual communication functionalities.

Such translations are provided solely for convenience and informational purposes.

The Platform does not guarantee the accuracy, completeness, legal validity, contextual accuracy, or suitability of automatically translated content.

Users remain responsible for verifying information communicated through translated messages.

In the event of discrepancies between translated content and the original content, the original content shall prevail.

13.6 Confidential Communications

Users shall respect the confidentiality of communications received through the Platform.

Users shall not disclose, distribute, reproduce, publish, commercialize, or otherwise misuse communications in violation of Platform rules, confidentiality obligations, agreements between Users, or Applicable Law.

13.7 Communication Records

The Platform may maintain communication records, timestamps, metadata, delivery records, read receipts, translation records, audit logs, and other communication-related information for operational, security, compliance, transparency, dispute-resolution, and Platform integrity purposes.

13.8 Communication Monitoring and Enforcement

The Platform reserves the right to investigate complaints, reports, abuse claims, misconduct, security incidents, fraud, unlawful activities, or other suspected violations involving Platform communications.

Where reasonably necessary, the Platform may take actions including warnings, restrictions, suspension of communication functionalities, content removal, Account suspension, Account termination, or other measures authorized under Platform rules.

13.9 No Platform Responsibility for User Communications

Users remain solely responsible for communications they create, transmit, receive, store, or otherwise exchange through the Platform.

The Platform does not endorse, approve, verify, guarantee, or assume responsibility for communications exchanged between Users.

14. Data Accuracy and Maintenance Obligations

14.1 General Duty of Accuracy

Users shall ensure that information submitted, uploaded, published, exchanged, stored, managed, or otherwise maintained through the Platform is accurate, complete, current, and not misleading.

This obligation applies to all information made available through the Platform, including but not limited to Properties, Leads, Transactions, commissions, documents, professional information, communications, mandates, and collaboration records.

14.2 Duty to Update Information

Users shall promptly update information whenever material changes occur.

Users shall not knowingly maintain information that is outdated, inaccurate, incomplete, misleading, invalid, or inconsistent with actual circumstances.

14.3 Responsibility for Platform Data

Each User remains solely responsible for information that they create, upload, manage, maintain, publish, exchange, or otherwise control through the Platform.

The Platform does not assume responsibility for verifying the accuracy of User-generated information except where expressly stated otherwise.

14.4 Accuracy of Property Information

Users shall maintain accurate information relating to Properties, including Property status, availability, pricing, commissions, mandates, characteristics, documents, and other relevant information.

Users shall update Property information within a reasonable period following material changes affecting the Property.

14.5 Accuracy of Lead Information

Users shall maintain accurate information relating to Leads and shall update Lead records whenever material developments occur.

Users shall not intentionally conceal, manipulate, distort, or misrepresent Lead information.

14.6 Accuracy of Transaction Information

Users shall maintain accurate Transaction records and shall update Transaction information whenever material developments occur.

Users shall not knowingly submit false, misleading, incomplete, manipulated, or inaccurate Transaction information.

14.7 Accuracy of Professional Information

Users shall maintain accurate information regarding their identity, business affiliation, professional status, contact information, and other professional details maintained through the Platform.

14.8 Cooperation with Verification Requests

Where reasonably necessary, the Platform may request clarification, explanations, supporting information, or documentation relating to information maintained through the Platform.

Users shall cooperate with reasonable verification requests intended to protect Platform integrity, investigate complaints, resolve disputes, or ensure compliance with Platform rules.

14.9 Consequences of Inaccurate Information

The intentional submission, maintenance, concealment, manipulation, falsification, or misrepresentation of information may constitute a violation of these Rules.

Such violations may result in warnings, restrictions, suspension of content, suspension of functionalities, suspension of Accounts, termination of access, or other measures authorized under the Platform Terms & Conditions.

15. Platform Transparency Principle

15.1 Principle of Transparency

The Proksimo Platform is built upon principles of transparency, accountability, professional integrity, and trust.

Users acknowledge that the effectiveness, reliability, and value of the Platform depend upon the accuracy and transparency of information maintained by its participants.

15.2 Duty of Honest Participation

Users shall participate in Platform activities honestly, transparently, and in good faith.

Users shall not intentionally conceal, distort, manipulate, misrepresent, falsify, delay, or otherwise interfere with information that may materially affect the rights, obligations, expectations, compensation, opportunities, transactions, or legitimate interests of other Users.

15.3 Transparency of Property Information

Users shall maintain transparent and accurate information relating to Properties, including information affecting representation rights, mandates, availability, status, commissions, collaboration opportunities, and other relevant Property information.

15.4 Transparency of Transactions

Users shall accurately declare and maintain information relating to Transactions where such information is required by the Platform, these Rules, applicable agreements, or Platform procedures.

Users shall not intentionally conceal, misrepresent, manipulate, or fail to disclose Transaction information where such disclosure is required under Platform rules.

15.5 Transparency of Cooperation Activities

Users shall act transparently when engaging in cooperation activities through the Platform.

Users shall not intentionally misuse collaboration arrangements, conceal material information from collaborating Users, manipulate cooperation records, or interfere with transparency mechanisms provided by the Platform.

15.6 Transparency of Commission Information

Users shall maintain transparency regarding commission information, compensation arrangements, and other financial information where such information is required under Platform functionalities, agreements, or Platform procedures.

Users shall not intentionally provide inaccurate or misleading commission-related information.

15.7 Protection of Platform Integrity

Users acknowledge that transparency mechanisms implemented by the Platform serve to protect trust, cooperation, accountability, and operational integrity within the Proksimo ecosystem.

Users shall not attempt to circumvent, undermine, disable, manipulate, or interfere with such mechanisms.

15.8 Platform Rights Relating to Transparency

Where the Platform reasonably believes that transparency obligations have been violated, the Platform may request clarification, documentation, explanations, or supporting evidence.

The Platform may also apply warnings, restrictions, suspensions, content removal, Account restrictions, Account termination, or other measures authorized under Platform rules and the Terms & Conditions.

16. Reporting Violations

16.1 Reporting Rights

Users may report suspected violations of Platform rules, Terms & Conditions, Applicable Law, professional obligations, or other conduct that may adversely affect the Platform, its Users, Property Owners, business partners, or third parties.

Reports may relate to Properties, Leads, Transactions, mandates, documents, communications, professional conduct, cooperation activities, fraud, misuse of the Platform, or any other activity conducted through or in connection with the Platform.

16.2 Good Faith Reporting

Users shall submit reports honestly, responsibly, and in good faith.

Users shall not knowingly submit false reports, misleading allegations, fabricated complaints, fraudulent claims, or reports intended to harass, intimidate, damage, disadvantage, or otherwise harm another User.

The submission of knowingly false reports may itself constitute a violation of these Rules.

16.3 Information Supporting Reports

Users are encouraged to provide information, documentation, explanations, screenshots, communications, records, or other materials reasonably supporting a report.

The Platform may request additional information where reasonably necessary to evaluate a report.

16.4 Platform Review of Reports

The Platform may review, investigate, verify, assess, prioritize, or otherwise process reports submitted by Users.

The Platform shall determine, in its reasonable discretion, the appropriate scope and method of any review or investigation.

The Platform is not obligated to investigate every report or complaint and does not guarantee any particular outcome.

16.5 Cooperation During Investigations

Users shall cooperate with reasonable requests for information, explanations, documentation, or clarification made during the review of a report or investigation of a suspected violation.

Failure to cooperate may be taken into account when assessing compliance with Platform rules.

16.6 Protection of Platform Integrity

Where reasonably necessary to protect Users, Property Owners, Platform integrity, legal compliance, or operational security, the Platform may take temporary or permanent measures while a report or investigation is being reviewed.

Such measures may include restrictions on Properties, documents, communications, collaboration activities, functionalities, or Accounts.

The application of such measures shall not be interpreted as a final determination of wrongdoing.

16.7 Confidentiality of Reports

The Platform may treat reports, supporting materials, investigative information, and related communications as confidential to the extent reasonably necessary to protect Users, investigations, security interests, legal obligations, or Platform integrity.

The Platform may disclose information where required by Applicable Law, regulatory requirements, judicial authorities, law enforcement authorities, or other competent authorities.

16.8 Platform Discretion

The Platform reserves the right to determine, in its reasonable discretion, the appropriate response to any reported conduct, suspected violation, complaint, dispute, security concern, abuse report, or other matter affecting the Platform or its Users.

Such responses may include no action, requests for clarification, warnings, restrictions, suspensions, removals, terminations, or other measures authorized under Platform rules and the Terms & Conditions.

17. Consequences of Violations

17.1 General Enforcement Principle

The Platform may take appropriate measures where it reasonably believes that a User has violated these Rules, the Terms & Conditions, Applicable Law, professional obligations, cooperation obligations, or other requirements applicable to the use of the Platform.

The nature and severity of any measure may depend upon the seriousness, frequency, impact, intent, and circumstances of the violation.

17.2 Warning Measures

For minor, isolated, unintentional, or first-time violations, the Platform may issue warnings, notifications, educational guidance, corrective requests, or other measures intended to promote compliance.

The Platform shall not be obligated to issue warnings before applying other enforcement measures where circumstances justify stronger action.

17.3 Content Restrictions

The Platform may restrict, hide, remove, disable, archive, or otherwise manage Properties, Leads, documents, communications, transaction records, commission information, collaboration records, or other content where reasonably necessary to protect Platform integrity or enforce Platform rules.

17.4 Functional Restrictions

The Platform may restrict access to specific functionalities, modules, collaboration features, communication features, document management features, transaction features, or other Platform capabilities.

Such restrictions may be temporary or permanent.

17.5 Property Restrictions

The Platform may restrict, suspend, hide, remove, or otherwise manage Properties where it reasonably believes that:

(a) the Property is represented without proper authority;

(b) the User is not the Mandataire or otherwise lacks authority to represent the Property;

(c) information associated with the Property is inaccurate, misleading, fraudulent, incomplete, or unlawful;

(d) the Property violates these Rules, the Terms & Conditions, or Applicable Law.

17.6 Account Suspension

The Platform may temporarily suspend a User Account where reasonably necessary to:

(a) investigate suspected violations;

(b) prevent ongoing harm;

(c) protect Users or third parties;

(d) maintain security;

(e) ensure compliance with Platform rules;

(f) protect Platform integrity.

17.7 Permanent Account Termination

The Platform may permanently terminate access to the Platform where reasonably necessary due to serious, repeated, deliberate, fraudulent, abusive, unlawful, or integrity-related violations.

Permanent termination may be applied without prior warning where the severity of the violation reasonably justifies immediate action.

17.8 Integrity Violations

The following may be treated as serious integrity violations:

(a) knowingly representing a Property without proper authority;

(b) knowingly misrepresenting Mandataire status;

(c) submitting forged, altered, fabricated, fraudulent, or unauthorized documents;

(d) knowingly providing false information relating to Transactions;

(e) knowingly providing false information relating to commissions;

(f) deliberate concealment of Transactions where disclosure is required under Platform rules;

(g) fraud, deception, manipulation, or other conduct intended to undermine Platform trust mechanisms;

(h) repeated violations of Platform rules following prior enforcement measures.

17.9 No Obligation to Apply Progressive Enforcement

The Platform is not required to apply enforcement measures in any particular sequence.

Depending on the circumstances, the Platform may apply warnings, restrictions, suspensions, removals, or permanent termination without first applying lesser measures.

17.10 Preservation of Rights

Enforcement measures applied by the Platform do not limit any other rights, remedies, contractual rights, legal claims, reporting obligations, or actions available to the Platform under Applicable Law, the Terms & Conditions, or other applicable agreements.

18. Amendments to the Rules

18.1 Right to Amend the Rules

The Platform continuously develops, improves, expands, and modifies its services, functionalities, cooperation mechanisms, operational procedures, security measures, and participation requirements.

Accordingly, the Platform reserves the right to amend, supplement, replace, update, revise, or otherwise modify these Rules from time to time.

18.2 Reasons for Amendments

Amendments may be introduced for purposes including, but not limited to:

(a) the introduction of new Platform functionalities;

(b) the introduction of new cooperation mechanisms;

(c) operational improvements;

(d) security enhancements;

(e) fraud prevention measures;

(f) legal or regulatory compliance;

(g) technological developments;

(h) protection of Users, Property Owners, and Platform integrity;

(i) other legitimate business or operational reasons.

18.3 Publication of Updated Rules

The most current version of these Rules shall be made available through the Platform or through other official communication channels designated by the Platform.

Users are encouraged to review updated versions of these Rules periodically.

18.4 Acceptance of Amendments

Where required by Applicable Law or Platform procedures, Users may be required to expressly acknowledge or accept updated versions of these Rules.

Where Applicable Law permits, continued use of the Platform following the effective date of updated Rules may constitute acceptance of such updates.

18.5 Discontinuation of Use

Users who do not agree with amendments to these Rules may discontinue use of the Platform and terminate their participation in accordance with the Platform Terms & Conditions.

18.6 Relationship with Other Platform Documents

These Rules shall be interpreted together with the Proksimo Platform Terms & Conditions and other applicable Platform policies, agreements, and rules.

Where a conflict exists between these Rules and the Proksimo Platform Terms & Conditions, the Proksimo Platform Terms & Conditions shall prevail unless expressly stated otherwise.

The Platform may designate additional communication channels, compliance procedures, reporting mechanisms, verification procedures, or support channels from time to time.

Users shall cooperate with reasonable requests relating to compliance, verification, investigations, dispute resolution, security matters, operational integrity, or enforcement of these Rules.

Official communications issued by the Platform through the Platform itself, by email, or through other authorized communication channels may constitute official communications relating to these Rules and the User's participation in the Platform.
